Terms of Service

These Terms of Service govern your access to and use of Sim2Real and related services. The service is provided by Night Lite USA LLC. Developer312 is a brand of Night Lite USA LLC, not a separate company or subsidiary. By accessing or using the service, you agree to these Terms.
1. Company information

2. Service description
Sim2Real is a software platform designed to help robotics teams analyze real-world deployment outcomes, identify simulation-to-reality mismatches, and improve simulation-driven training workflows.
3. Eligibility and accounts
You must have authority to enter into these Terms on behalf of yourself or your organization. You are responsible for maintaining the confidentiality of account credentials and for all activity occurring under your account.
4. Acceptable use
You agree not to misuse the service, interfere with platform operations, attempt unauthorized access, reverse engineer protected parts of the service except as allowed by law, or use the service in violation of applicable law or third-party rights.
5. Subscription terms
Some features are offered on a paid subscription basis. By purchasing a paid plan, you agree to the pricing, billing interval, and feature limits associated with your selected plan.
6. Payment and renewal terms
Unless otherwise stated, paid subscriptions renew automatically at the end of each billing cycle until canceled. Customers may manage subscription changes, cancellations, payment methods, and invoices through the billing portal where enabled.
7. Cancellation terms
You can cancel a subscription in the billing portal where that portal is enabled for the plan. Cancellation stops future renewals. Access continues through the end of the period you have already paid for, unless you delete the account or a signed written agreement says otherwise.
Pilot Optimizer is month-to-month. Enterprise Transfer may be billed monthly or annually, or under a purchase order, as agreed with us. Canceling Pilot Optimizer in the billing portal does not by itself end a separately agreed Enterprise engagement.
8. Refunds
Fees are charged in advance for each billing period. We do not refund fees for a partial billing period, except where applicable law requires a refund. Canceling stops the next renewal. It does not return the fee for the period already underway.
Deleting an account is separate from canceling. Account deletion cancels any active Stripe subscription immediately and ends access when the account is erased. That cancellation does not refund the current period, except where applicable law requires a refund. The application does not issue a partial-period credit on its own.
Sim2Real does not publish a service-level agreement, and these Terms do not promise a service credit or a pro-rata refund for downtime. If a signed written agreement states different refund or cancellation terms for an engagement, that agreement controls for that engagement.
9. No guarantee / service availability
We may update, suspend, or change parts of the service from time to time. No specific availability, uptime, or deployment outcome is guaranteed unless separately agreed in writing.
10. Intellectual property
The service, software, branding, documentation, and related materials are owned by Night Lite USA LLC and its licensors, except for customer-provided content. Developer312 is a brand of Night Lite USA LLC, not a separate owner.
11. Confidentiality
Each party will protect the other party’s confidential information with reasonable care and use it only as needed to provide, receive, or evaluate the service.
12. Warranty disclaimer
The service is provided on an “as is” and “as available” basis, without warranties of any kind to the fullest extent permitted by law.
13. Limitation of liability
To the fullest extent permitted by law, Night Lite USA LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or business opportunities arising from or related to the service.
14. Indemnification
You agree to indemnify and hold harmless Night Lite USA LLC from claims arising from your misuse of the service, your data, or your violation of these Terms.
15. Governing law and venue
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. Each party consents to the exclusive jurisdiction and venue of the state and federal courts located in Alameda County, California for any dispute arising from or related to these Terms or the service, except where applicable consumer-protection law provides otherwise. Nothing in this section limits a party’s ability to seek injunctive relief in any competent jurisdiction to protect its intellectual property or confidential information.
16. Changes to service or terms
We may update the service or these Terms from time to time. If we make material changes, we will post the updated version and revise the last updated date.
